At Ahoy Cestovani Ventures Pvt. Ltd. (“the Company”), our reputation is our greatest asset—built on integrity, professionalism, and ethical conduct. This Code of Conduct and Ethics (“the Code”) outlines the standards of behavior expected from all employees, directors, and stakeholders. It ensures that our actions uphold our core values, comply with Indian laws, and foster a safe, harmonious, and productive workplace.
1.2. Scope and Applicability
This Code applies to all employees (full-time and part-time), directors, officers, and interns of Ahoy Cestovani Ventures Pvt. Ltd. (“Ahoy Members”). We also expect our business partners, consultants, and contractors to adhere to similar ethical standards.

2. Commitment to Compliance with Indian Laws
All Ahoy Members must comply with the laws and regulations of the Republic of India. Key areas include:
Companies Act, 2013 – Corporate governance, director duties, and shareholder relations.
Labour Laws and Labour Codes – Wages, working hours, benefits, and service conditions.
POSH Act, 2013 – Prevention of sexual harassment at the workplace.
Prevention of Corruption Act, 1988 & Lokpal and Lokayuktas Act, 2013 – Anti-bribery and anti-corruption compliance.
Information Technology Act, 2000 – Data privacy, cybersecurity, and digital records.
Income Tax Act, 1961 & GST Laws – Financial integrity and timely tax compliance.
Intellectual Property Laws – Protection of copyrights, trademarks, and patents.
Note: Ignorance of the law is not an excuse. Every employee must understand the legal requirements relevant to their role.
3. Workplace Conduct & Professionalism
3.1. Equal Opportunity & Non-Discrimination

3.2. Prevention of Sexual Harassment (POSH Compliance)
Ahoy Cestovani Ventures maintains a zero-tolerance policy towards sexual harassment.
An Internal Committee (IC) has been established in accordance with the POSH Act.
Employees are encouraged to report incidents confidentially and without fear of retaliation.

3.4. Substance Abuse
Possession, distribution, or use of alcohol or illegal drugs on company premises or during work hours is prohibited and may result in disciplinary action.
4. Integrity in Business Dealings
4.1. Anti-Bribery and Anti-Corruption
ahoy Members must not offer, give, solicit, or accept bribes, kickbacks, or facilitation payments from any party, including government officials or private entities.
4.3. Gifts and Hospitality
Reasonable, customary business courtesies of nominal value may be accepted. However, cash or cash equivalents (e.g., gift cards) are strictly prohibited. Any gift that could be perceived as influencing a business decision must be declined and reported.
5. Protection of Company Assets & Information
5.1. Confidential Information
Employees must protect all confidential and proprietary information during and after employment, including business strategies, financial data, client lists, and trade secrets. Unauthorized disclosure may result in legal action.
5.2. Intellectual Property (IP)
Any creation, invention, software, or process developed during employment using company resources shall remain the exclusive property of Ahoy Cestovani Ventures Pvt. Ltd.
5.3. Data Privacy
We safeguard personal and corporate data in compliance with Indian data protection laws and the Company’s Data Privacy Policy.
5.4. Use of Company Assets
Company resources (e.g., equipment, software, funds) are for legitimate business purposes. Limited personal use is permitted only if it does not interfere with work or violate this Code.
6. Financial Integrity & Reporting
6.1. Accurate Books and Records
All financial transactions must be accurate, complete, and compliant with the Companies Act and Indian Accounting Standards (Ind AS). Falsification of records is strictly prohibited.
6.2. Insider Trading
Employees possessing unpublished price-sensitive information (UPSI) about the Company or any listed partner must not trade in securities or disclose such information, in accordance with SEBI regulations.
7. Use of Technology & Communication Systems
7.1. Acceptable Use
Company technology resources (email, internet, software, etc.) must be used responsibly and only for lawful purposes. Unauthorized use, hacking, or distribution of malware is prohibited.
7.2. Social Media
Employees must not post or share confidential information or make statements that harm the Company’s reputation. Only authorized personnel may communicate on behalf of the Company.
8. Reporting & Whistleblower Mechanism
8.1. Responsibility to Report
All employees are responsible for promptly reporting any violation of this Code or suspected unethical behavior.
8.2. Vigil Mechanism / Whistleblower Policy
In line with the Companies Act, 2013, Ahoy Cestovani Ventures maintains a Vigil Mechanism (Whistleblower Policy) that allows employees and directors to report concerns anonymously and without fear of retaliation.

9. Consequences of Violation
Violations of this Code will lead to appropriate disciplinary action, which may include:

Suspension
Demotion or withholding of promotion
Termination of employment
Legal proceedings, where applicable
